1. Who We Are; Acceptance
1.1. This website, usbased.com (the “Site”), is operated by HOME OF THE BRAVE limited liability company, with its registered office in Poland, entered in the Register of Entrepreneurs of the National Court Register kept by the District Court Wroclaw-Fabryczna under KRS number 0001030618, NIP 8992957655 (“USBASED”, “we”).
1.2. By using the Site, you accept these Terms of Service (“Terms”). If you do not accept them, do not use the Site.
2. Business Use
2.1. The Site and our services are intended for businesses and professionals. By using the Site you confirm that you are at least 18 years old and act for purposes related to your trade, business or profession.
3. Information Only; How Engagements Are Concluded
3.1. Content on the Site describes our services for general information. It constitutes an invitation to enter into negotiations, not a binding offer. Any prices or fee indications shown on the Site are indicative and exclusive of VAT and other taxes.
3.2. Engagements are concluded exclusively under our Services Agreement and an Order Form. Where we make an electronic order form available, our Services Agreement is made available to you before submission; submitting the form constitutes your acceptance of the Services Agreement, and the engagement is concluded upon our email confirmation, as set out in that agreement.
4. No Professional Advice
4.1. Nothing on the Site, and nothing communicated in introductory calls or materials, constitutes legal, tax, accounting, immigration, regulatory or investment advice, or a recommendation to buy or sell any financial instrument.
4.2. USBASED is not a law firm, licensed broker-dealer or licensed investment firm, and no fiduciary relationship is created by your use of the Site. Obtain your own professional advice before acting.
5. Applications and Submissions (Including Pitch Materials)
5.1. Our forms may ask for business information, including your objectives and budget. Submitting an inquiry or application form does not create any engagement or obligation on our part.
5.2. If you submit pitch decks, metrics, business plans or other materials, including via the “We invest in projects” route, then, unless we have signed a separate written non-disclosure agreement with you:
a. we have no obligation to review, respond to, keep confidential, or return your submission; b. you should not send trade secrets or information you cannot afford to share; c. you warrant that you have the right to share the submission and that it is lawful and accurate; d. we may retain copies for record-keeping and compliance purposes; and e. we and our affiliates may evaluate, develop or invest in similar or competing ideas and businesses without any obligation to you.
5.3. No submission constitutes an offer of securities by you or by us, and no investment or engagement arises unless and until separate definitive documents are signed.
6. Expert Applications
6.1. Applications via “Become an Expert” are reviewed at our discretion. Application data is processed as described in our Privacy Policy. Acceptance occurs only upon signature of an Expert Engagement Agreement.
7. Directory and Third-Party Providers
7.1. The service providers listed in our directory are independent businesses. Listing does not constitute endorsement, recommendation or any guarantee of their services.
7.2. Any contract you conclude with a listed provider is solely between you and that provider; we are not a party to it and are not liable for their acts or omissions. We may receive referral fees from providers and will disclose them on request.
8. Intellectual Property
8.1. The Site and its content — including text, graphics, logos, the USBASED brand and layout — are owned by USBASED or its licensors and protected by law.
8.2. We grant you a limited, revocable, non-exclusive license to view the Site and use its content for your internal business evaluation. You may not copy, reproduce, distribute, frame or create derivative works from the content, use it to train artificial-intelligence or machine-learning models, or use our trademarks, without our prior written consent.
8.3. Automated scraping, crawling or bulk extraction of Site content is prohibited, except for standard search-engine indexing.
9. Acceptable Use
9.1. You will not: use the Site unlawfully; interfere with its operation or security; introduce malware; misrepresent your identity or affiliation; or attempt to gain unauthorized access to any systems or data.
10. Availability and Disclaimers
10.1. The Site is provided “as is” and “as available.” We do not warrant that it will be uninterrupted, error-free or that its content is complete or current. We may change, suspend or withdraw any part of the Site at any time.
11. Liability
11.1. Nothing in these Terms excludes or limits liability for willful misconduct or any liability that cannot be excluded under applicable law, and nothing affects mandatory statutory rights of consumers where such rights mandatorily apply.
11.2. Subject to 11.1, and to the maximum extent permitted by law: we are not liable for indirect or consequential damages, lost profits, loss of business, goodwill or data arising from your use of the Site; and our total aggregate liability arising from the use of the Site is limited to EUR 1,000.
11.3. Liability arising under a signed services or engagement agreement is governed by that agreement, not by this Section.
12. Indemnity
12.1. You will indemnify USBASED against third-party claims and reasonable costs arising from your breach of these Terms or from materials you submit.
13. Privacy and Cookies
13.1. Our processing of personal data is described in the Privacy Policy at usbased.com/privacy. Cookie preferences can be managed via the Cookie Settings link on the Site.
14. Changes to These Terms
14.1. We may update these Terms from time to time. The current version, with its effective date, will be posted on the Site. Continued use of the Site after changes take effect constitutes acceptance.
15. Governing Law and Jurisdiction
15.1. These Terms are governed by the laws of the Republic of Poland, excluding conflict-of-law rules. The common courts having jurisdiction over the registered office of USBASED have exclusive jurisdiction over disputes concerning use of the Site, without prejudice to mandatory rules on jurisdiction where they apply. Disputes under signed services or engagement agreements are resolved as provided in those agreements.
16. Miscellaneous
16.1. If any provision of these Terms is invalid, the remainder stays in force. These Terms are the entire agreement between you and us regarding use of the Site. We may assign these Terms to an affiliate or a successor of our business.
